Responsibilities & Context:
∎ Core Responsibilities:
∎ * Providing Legal Advice:   * Offer strategic and practical legal advice to senior management and the board of directors on a wide range of issues affecting the company's assets, human resources along with operations.   * Interpret and advise on the company's policies, procedures, and guidelines in accordance with the law.   * Provide opinion on various legal matters as they arise.

∎ Ensuring Compliance:   * Advise appropriate authorities of the company and monitor with all applicable laws, regulations, and statutory requirements in Bangladesh, including the Companies Act, labour laws, tax regulations, environmental laws, and industry-specific legislation.   * Develop and implement legal policies, procedures, and risk management strategies to minimize legal risks.   * Stay updated on changes in laws and regulations relevant to the company's industry and ensure timely adaptation and compliance.

∎ Contract Management:   * Draft, review, negotiate, and manage a wide variety of commercial contracts, agreements, and other legal documents between our company and any other local company or overseas companies or individuals.   * Ensure that contracts are legally sound and protect the company's interests.

∎ Litigation and Dispute Resolution:   * Manage litigation, dispute resolution processes, and regulatory investigations.   * Represent the company in legal proceedings, negotiations, and interactions with external legal counsel.   * Oversee the work of external lawyers when necessary. * Corporate Governance:   * Oversee corporate governance matters and ensure compliance with corporate governance standards.   * Advise on ethical business practices.   * Maintain clarity between the roles of the board and management.

∎ Intellectual Property Protection:   * Advise on matters related to trademarks, patents, copyrights, and other intellectual property       rights.   * Take necessary steps to protect the company's IP.

∎ Stakeholder Management:   * Manage relationships with regulators, government authorities, and external legal counsel.
∎
∎ Corporate Transactions:   * Provide legal counsel on mergers, acquisitions, joint ventures, and other strategic transactions.   * Conduct due diligence and ensure legal compliance in such transactions.
∎ Developing Legal Resources:   * Potentially lead and manage an internal legal team, ensuring effective legal support across         departments (depending on the company size).   * Develop and implement key performance metrics for the legal function.  * Identify and implement technology solutions for the legal department.
