Responsibilities & Context:
∎ Job responsibility as Company Secretary:
∎ Ensure & maintain 100% statutory & regulatory compliance.
∎ Fixing the agendas of all formal meetings as per discussion with chairman & Company Head.
∎ Organize & prepare agenda for and taking minutes of board meetings and others.
∎ To take necessary notes of the Meeting for preparing Minutes of the Meeting.
∎ Liaise with external regulators and advisers, such as lawyers and auditors.
∎ Oversee public relations and aspects of financial management.
∎ To prepare the necessary Extract from the Minutes of the Meeting; Circulate the Extract from the Minutes of the Board Meeting to the concerned persons for necessary compliance.
∎ Follow up implementation of the Board decision.
∎ New company formation if necessary.
∎ Act as custodian of the governing document, in liaison with the Board.
∎ Secure compliance of company's policies/procedures and local laws.
∎ Any other jobs assigned by the management/Board.

∎ Responsibility as Head of Chairman's Secretariat:
∎ Ensuring all Chairman's Calendar is well managed by adequate communication to all the stakeholders.
∎ Working with relevant stakeholders and finalize the travel itinerary and travel arrangements.
∎ Ensuring all the meetings are well coordinated, it starts and ends on time. Agenda is properly set.
∎ Will accompany Chairman during local and foreign visits.
∎ Responsible for all written and verbal communication on behalf of chairman.
∎ Convey Chairman's instructions to concerned official timely and effectively.
∎ Liaison with prominent personalities (Govt. & Non Govt.) of the country considering business need.
∎ Any other jobs assigned by the management/Board.
