∎ Minimum 50 years. Age limit is flexible for highly qualified and experienced candidates.
∎ Minimum 15 years of experience on matters of governance, compliance and best practice and working at a suitably senior corporate level.
∎ Demonstrate commitment to carrying out tasks on time and under deadline.
∎ Excellent written, oral communication and interpersonal skills, analytical ability, initiative, drive and commitment to quality system.
∎ Competence and success in corporate policy-making
∎ Should be familiar with matters pertaining to Company Law, Secretarial functions, Compliances required by Bangladesh Bank / Registrar of Companies, Legal, Finance Accounts, Income Tax, Sales Tax & Insurance etc. Preference shall be given to candidate having experience of working in Banks or financial Institutions.
∎ Sound knowledge in Bangladesh Labour Law.

Responsibilities & Context:
∎ Providing secretarial assistance to the Organization, including dealing with Board matters, filing of various returns as per regularly requirement and providing advices to the management.
∎ Complying with guidelines of Bangladesh Bank for NGO and Non-Banking Financial Companies matters.
∎ Filing, registering any document including forms, returns and applications by and on behalf of the Organization as an authorized representative.
∎ Drafting Legal documents, Notice of the meetings, Agendas, Minutes & all other corporate documents.
∎ Compliance with various authorities like Bangladesh Bank, Registrar of Joint Stock Companies (RJSC) etc.
∎ Compliance with secretarial and corporate laws.
∎ Prepare Board meeting notices /resonations/ minutes to register a new company.
∎ Prepare required forms to approve new company from Government.
∎ Co-ordinating board/Executive Committee/annual general meetings/extra ordinary general meeting and follow-up actions of different institutions of DAM.
∎ Custodian of corporate records, statutory books and registers.
∎ Representing Organization before the courts, tribunals, tax authorities and other statutory / regulatory authorities as and when required.
∎ Increase share of different institutions and company of DAM as required by DAM management.
∎ Prepare papers/documents to apply for public listing company.
∎ Provide a comprehensive Legal Services to deal with legal issues.
∎ Keep relation with external auditor, Government and Non-Government Bodies.
∎ Communication with various stakeholders, like Shareholders, Government, Regulators, Authorities etc. and also Maintaining business relations with all concerned.
∎ Any other matters relating to the company secretarial assignment, including all incidental works, such as legal matters, audit, accounts, report writing, preparation of Annual Report etc., and compliance of various statutory, regulatory and other reporting requirements.
∎ Contribute to a high-level and productive working environment.
∎ Ensure a work environment that is non-discriminatory and promotes open dialogue on gender-related and cultural sensitive issues.
∎ Perform any other duties and responsibilities as assigned by the higher authority.

DAM’s current governing institutions in education, health and economic development sectors in Bangladesh, looking for a competent, self-motivated and highly experienced Company Secretary for immediate appointment:
