Responsibilities & Context:
∎ Advise the Board and Management Committees on statutory and constitutional requirements to ensure the business operates in a compliant and effective manner.
∎ Ensure compliance with BSEC regulations and listing requirements, advising the Board on price-sensitive information when necessary.
∎ Convene Annual General Meetings (AGMs), Board of Directors meetings, and Audit Committee meetings, ensuring all are conducted on time and in compliance with corporate governance guidelines.
∎ Prepare accurate minutes for all meetings, ensuring timely circulation of meeting notices, minutes, and relevant documents.
∎ File statutory reports, maintain statutory returns and registers, and ensure timely submission of necessary documents to regulatory bodies (e.g., BSEC, RJSC, Stock Exchanges).
∎ Maintain company documents, including Board resolutions, contracts, and shareholder details, ensuring they are readily available for review.
∎ Manage the issuance of dividend warrants, bonus share certificates, and related activities.
∎ Ensure proper arrangements are made for the disposal of financial shares and handling shareholder inquiries.
∎ Serve as the primary point of contact for investors, addressing shareholder queries and maintaining effective communication between GHAIL and its shareholders.
∎ Liaise with regulatory authorities, including RJSC, BSEC, and Stock Exchanges, to ensure the company’s compliance with all relevant laws and regulations.
∎ Oversee all regulatory filings, including the payment of fees and ensuring deadlines set by each agency are met.
∎ Take full responsibility for corporate actions such as company formation, amendments to the Memorandum/Articles of Association, capital raising, and other regulatory formalities.
∎ Perform other duties as assigned by the Management, ensuring smooth and efficient company operations.

∎ Key Responsibilities:
∎ As the Company Secretary, you will be responsible for overseeing the secretarial functions for GHAIL and its associated companies. Key duties include:
∎ Corporate Governance & Compliance:
∎ Advise the Board and Management Committees on statutory and constitutional requirements to ensure the business operates in a compliant and effective manner.
∎ Ensure compliance with BSEC regulations and listing requirements, advising the Board on price-sensitive information when necessary.
∎ Board & Shareholder Engagement:
∎ Convene Annual General Meetings (AGMs), Board of Directors meetings, and Audit Committee meetings, ensuring all are conducted on time and in compliance with corporate governance guidelines.
∎ Prepare accurate minutes for all meetings, ensuring timely circulation of meeting notices, minutes, and relevant documents.
