∎ Master of Business Administration (MBA) in Accounting
∎ MBA/Masters (Finance/Accounting/Banking/Economics/Business Management etc.) from any reputed university without any third class/division in academic records.
∎ Chartered Secretary (CS)/Charted Accountants (CA) partly qualified or recently qualified Chartered Secretary (CS) will be given preference.

∎ Age at most 40 years
∎ Minimum 5 (five) to 7 (seven) years of hands-on experience in the Board Secretariat, preferably in a publicly listed company or Bank/Finance Company.
∎ Detail-oriented with strong written and verbal communication skills in both English and Bangla, along with good typing speed in both languages.
∎ Well conversant with Finance Company Act, Companies Act, Security and Exchange Ordinance, Security and Exchange Rules, BSEC Directives, Corporate Governance Code, Notifications, Orders & Circulars, Listing Regulations, Depository Act, Bangladesh Bank Circulars & Guidelines, Secretarial Standards by ICSB etc.
∎ Excellent communication and interpersonal skills, with the ability to interact confidently with senior executives, Board members, and external stakeholders.
∎ Able to perform all kinds of secretarial work independently with minimal supervision and exercise sound judgment in decision-making.
∎ Well conversant with IPO related activities, mergers and acquisitions etc.
∎ Possess sound knowledge of financial statements, financial analysis, budgeting, and various accounting terminologies.

Responsibilities & Context:
∎ Assisting in organizing Shareholders, Board, and Sub-Committee Meetings of the group following strict compliance with relevant laws, regulations, articles of association, charters, and best practices.
∎ Preparing working papers, reports for Circulation by Resolution.
∎ Compiling meeting agendas, preparing and checking memos, preparing meeting files, drafting Minutes, and submitting to the regulatory authorities.
∎ Coordinating the publication of the Annual Report and distributing it to all stakeholders.
∎ Keeping liaison with stakeholders i.e. Shareholders, Regulators (Bangladesh Bank (BB), Bangladesh Securities and Exchange Commission (BSEC), Registrar of Joint Stock Companies and Firms (RJSC), Investors, Auditors etc.
∎ Keeping up to date with any regulatory or statutory changes and policies which is related to the Company and assisting in incorporating the changes in the company.
∎ Preparing and filing statutory and regulatory reports and returns within the prescribed timelines and ensuring accurate and up-to-date corporate records.
∎ Circulate the relevant extract of the meeting minutes to the respective department and ensure that the decisions of the Board are properly communicated.
∎ Monitoring implementation of Board Decisions, collecting progress report and submitting compliance report.
∎ Any other tasks assigned by Company Secretary or Management as and when required.

The applicant should possess the requisite qualifications, experience, and competencies specified for this role.
